AIxC to Acquire Faraday Future Robotics Unit in $200M Stock Deal
AIxC (FFR) has signed a non-binding term sheet to acquire Faraday Future's robotics assets in an all-stock deal valued at roughly $200 million.
AIxC, trading on Nasdaq under the ticker FFR, has entered a non-binding term sheet to acquire the robotics assets and business operations of Faraday Future Intelligent Electric Inc. (FFAI) in an all-stock transaction valued at approximately $200 million, the companies announced.
If completed, the deal would position FFR as the first Nasdaq-listed pure-play robotics ecosystem company, according to the announcement. The transaction is structured entirely in stock, meaning no cash would change hands at closing under the current proposed terms.

As part of the arrangement, existing FFAI stockholders stand to receive a potential special stock dividend valued at $2.246 per share, which the companies characterized as a direct financial benefit to current shareholders. The dividend component is tied to the broader acquisition structure and has not yet been finalized.
The agreement remains non-binding, and both parties would need to negotiate and execute definitive documentation before any transaction could close. Regulatory approvals and other customary closing conditions would also apply. Neither company disclosed a target timeline for completing the deal.
